Revolut Business - Legal Entity Identifier (LEI) Services Terms

1. Parties

These Legal Entity Identifier (LEI) Service Terms (the “Terms”) govern your use of the LEI Services (as defined below) made available through the Revolut business app.


These Terms form a legal agreement between:

  1. Revolut Ltd, a company duly organised under the laws of England and Wales, whose registered office is at 30 South Colonnade, London, United Kingdom, E14 5HX and whose registered number is 08804411 (“we”, “our” or “us”); and
  2. you, the business customer of us or any other company within the Revolut group (“you” or “your”).


These Terms apply where we facilitate access to the LEI Services (as defined below) provided by a third-party LEI issuing partner. (“LEI Partner”).


The specific terms applicable to the LEI Partner are maintained and linked via the LEI Partner Page.


2. Purpose of these Terms

You understand that certain financial, cryptoasset, investment, payment, treasury products or services, or regulatory obligations may require you to hold an active LEI.


You authorise us to facilitate access to the LEI Services (as defined below) provided by the LEI Partner listed on the LEI Partner Page.


These Terms govern our facilitation of your access to the LEI Services (as defined below), including:

  • obtaining a new LEI;
  • renewing an LEI;
  • transferring an LEI between providers; and
  • updating or maintaining LEI-related information.


The actual LEI issuance, renewal, transfer and maintenance services are performed by one or more LEI Partner, including Local Operating Units (“LOUs”), being organisations accredited by the Global Legal Entity Identifier Foundation ("GLEIF") to issue and maintain LEIs, and/or registration agents (“Registration Agents”), being organisations that partner with one or more LOUs to facilitate LEI services, and not by us or any Revolut group entity.


By requesting the LEI Services (as defined below) through the Revolut platform, you agree that:

  • the relevant LEI services will be provided by the LEI Partner; and
  • you will be bound by the terms and conditions of the LEI Partner, as made available through the LEI Partner Page.

3. Scope of these Terms

We may facilitate your access to the following LEI-related services provided by the LEI Partner on your behalf (the “LEI Services”):


A. New LEI Issuance:

  • Preparing and submitting an LEI application.
  • Providing entity reference data to the relevant issuing authority.
  • Communicating with registries or Local Operating Units.


B. LEI Renewal:

  • Applying for annual renewal of the LEI.
  • Confirming and updating reference data where required.
  • Helping prevent LEI lapse where renewal instructions have been given.


C. LEI Transfer:

  • Initiating and processing transfer of the LEI between LOUs or Registration Agents, for service continuity, pricing, operational efficiency, jurisdictional coverage, or other reasons.


D. LEI Maintenance:

  • Updating legal name, registered address, registration numbers, ownership data, parent relationship data, contact data, or other registry information.
  • Responding to verification requests.


E. Communications:

  • Contacting you or authorised representatives regarding pending actions, missing documents, renewals, expiry dates, data discrepancies, or regulatory changes in connection with the LEI services.


You acknowledge that you may be contacted to provide a Letter of Authorization (Power of Attorney) or any other requisite proof demonstrating that the person accepting these Terms and the LEI Partner Terms has authority to accept such Terms and bind you, request the LEI Services on your behalf, and perform all obligations required for the LEI Partner to provide the LEI Services and, if applicable, confirming that we and the LEI Partner are duly authorized to apply for LEI on your behalf.


You acknowledge and agree that LEI Partner may require additional documentation or authorisations, including powers of attorney, letters of authorisation or other evidence confirming that the relevant representative may act on your behalf.

4. LEI Partner Terms

You acknowledge and agree that the LEI Services described in these Terms are subject to the applicable terms and conditions of the LEI Partner (the “LEI Partner Terms”).


By using the LEI Services through the Revolut platform, you confirm that you have reviewed and accepted the LEI Partner Terms made available through the LEI Partner Page.


We or any of our affiliates are not responsible for the content of the LEI Partner Terms or any other applicable documents or policies and won’t be liable for any loss resulting from actions by an LEI Partner

5. Data Sharing

You acknowledge and agree that we may share relevant information regarding you with the LEI Partner, and the LEI Partner may share relevant information with cooperating LOUs, official registries or competent authorities, to the extent necessary to provide the LEI services to you.


This may include:

  • Legal entity name;
  • Registration number;
  • Registered address;
  • Country of incorporation;
  • Names and contact details of authorised representatives;
  • Ownership / parent company reporting data (Level 2 data), where applicable;
  • Supporting corporate documents; and
  • LEI history and status information.


You confirm that all information supplied is accurate and up to date.


The personal data of authorized representatives collected under these Terms will be processed for the sole purpose of facilitating the application, issuance, renewal, transfer, and maintenance of the LEI, as well as managing communications and verifying authorization.


The legal basis for this processing is the performance of a contract to which you are a party, or to take steps at your request prior to entering into a contract, as well as compliance with regulatory and legal obligations related to financial market transparency.

6. Customer Representations

You represent, warrant and covenant that:

  • the person accepting these Terms and the LEI Partner Terms has authority to accept such Terms and legally bind you, request the LEI Services on your behalf, and perform all obligations required for the LEI Partner to provide the LEI Services;
  • you are legally formed and validly existing; and
  • all submitted information is true, complete, and not misleading.


You shall promptly notify us of any relevant structural or data changes and provide requested supporting documents upon request. You acknowledge that failure to supply accurate information related to such changes or requested supporting documentation may delay or prevent the LEI issuance or renewal process.

7. Level 2 Relationship Reporting

Where required under applicable LEI rules or standards, you agree to provide information regarding direct and/or ultimate parent entities, fund relationships or a valid reporting exception where parent reporting is not applicable.

8. Fees

You acknowledge and agree that LEI services may involve fees communicated by us and/or the LEI Partner.


You authorise us to debit the applicable LEI service fees from your Revolut business account or wallet in connection with the LEI Services requested by you.


If your request for LEI Services is ultimately unsuccessful because the LEI Partner is unable to complete the relevant LEI renewal, registration, or other applicable LEI Service process, as the case may be, we will refund all fees you have paid for such LEI Service. However, no refund will be due while your request remains pending, including where the LEI Partner has requested additional information or documentation from you in order to process your request.

9. No Guarantee of Timing

You acknowledge that:

  • final issuance, renewal, transfer, or update of an LEI depends on the LEI Partner, external registries, LOUs, verification requirements, and data quality;
  • we act solely as a facilitator of access to LEI services and are not ourselves an LEI issuer, LOU, registration agent or registry authority; and
  • neither us nor any Revolut group entity guarantees any specific completion time or controls the decision to issue, renew, transfer, reject, suspend or lapse an LEI, although reasonable efforts will be made to process requests promptly.


You understand that failure to provide required data may delay the provision of the requested LEI services.

10. Term and Revocation

These Terms remain valid until the earliest of:

  • written revocation by you;
  • termination of your relevant services with us;
  • where otherwise required by law or regulation.


Revocation shall not affect actions already initiated in good faith prior to receipt of the revocation notice.


Termination of these Terms will only affect our facilitation of your access to the LEI Services and will not automatically terminate, transfer or otherwise affect any services provided by the LEI Partner under the LEI Partner Terms.


Any termination, suspension, expiry or continuation of services provided by the LEI Partner will be governed by the LEI Partner Terms.


We may terminate or suspend your access to LEI Services immediately where reasonably required for legal, regulatory, operational, fraud prevention or security reasons, or where your relevant Revolut services are terminated.

11. Electronic Acceptance

You agree that these Terms and the LEI Partner Terms may be accepted electronically, including by checkbox, platform acceptance, digital signature, authenticated session approval, or other reliable electronic means.


Electronic acceptance shall have the same effect as a handwritten signature.

12. Governing Language and Law

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or their subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.


Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or their subject matter or formation.


If translated, the English version of these Terms shall prevail in case of any conflict, to the extent permitted by applicable laws.
