REVOLUT EARLY PAYMENTS SUPPLIER PORTAL TERMS AND CONDITIONS

1. WHY THIS INFORMATION IS IMPORTANT

These Terms and Conditions (the “Terms”) set out the legal agreement between:

  • Revolut Ltd (“we”, “us”, or “Revolut”); and
  • you, the supplier accessing or using the portal accessed via your SecureLink (the “Portal”) (“Supplier”, “you”).

These Terms apply whenever you access or use the Portal or otherwise request early payment on the Portal (“Early Payments”).

By accessing or using the Portal, you confirm that you:

  • have read and understood these Terms; and
  • agree to be bound by them.

These Terms also set out important information about:

  • how the Portal works;
  • your responsibilities;
  • our liability to you.

Please read these Terms carefully, including the limitation of liability in Section 11.

These Terms apply in addition and without prejudice to any agreements between you and the Buyer (as defined below).

Acceptance of these Terms, access to the Portal, or participation in the Early Payments does not create a banking, payment services, lending, deposit, custody, advisory, or other customer relationship between the Supplier and Revolut or any of its affiliates. This does not create a Revolut Business account. Revolut acts solely as a technology and administrative service provider in connection with the programme operated for the Buyer.


2. WHAT IS THE PORTAL?

The Portal is a technology service that enables Suppliers to:

  • view invoice data derived from the Buyer’s enterprise resource planning systems (“Invoice Data”);
  • request early payment from your customer (the “Buyer”) in exchange for a discount offered by the Buyer (the “Discount”). The Discount is determined by the Buyer and displayed on the Portal prior to your request. Revolut does not determine, or negotiate the Discount rate.

Revolut does not:

  • verify Invoice Data;
  • purchase receivables;
  • provide financing to you or your Buyer in respect of early payment of invoices; or
  • guarantee payment obligations of the Buyer.

Displaying invoices eligible for you to request Early Payment through the Portal does not constitute a binding or guaranteed payment commitment by Buyer or Revolut.


3. RELATIONSHIP BETWEEN PARTIES

The underlying commercial relationship is solely between:

  • the Supplier; and
  • the Buyer.

Revolut is not a party to:

  • any invoice;
  • any supply contract; or
  • any contractual obligation between you and your Buyer.

The Buyer is solely responsible for:

  • the accuracy of any Invoice Data;
  • offering the ability for you to request Early Payments;
  • determining Discounts and payment timing; and
  • making payment of invoices due to you.

Revolut acts solely as a technology and administrative service provider facilitating Early Payments. Each of Revolut or any of its affiliates do not act as a factor, a guarantor of any invoice.


No fees, charges, or deductions are applied by Revolut directly to the Supplier in connection with Early Payments or the use of the Portal.


4. INVOICE INFORMATION DISCLAIMER

Invoice Data displayed on the Portal is sourced from the Buyer’s connected accounting platform or otherwise provided by the Buyer.

You acknowledge and agree that:

  • Revolut does not verify or validate Invoice Data;
  • Invoice Data may be incomplete, inaccurate, or delayed; and
  • you are solely responsible for verifying all Invoice Data on the Portal.

The Portal may rely on third-party software or integrations. Neither Revolut nor any of its affiliates are responsible for:

  • availability of such systems;
  • errors or omissions in third-party data; and
  • interruptions caused by third-party providers.


5. HOW EARLY PAYMENT AND DISCOUNTING WORKS

The Buyer may offer the opportunity for you to request early payment of invoices at a Discount via the Portal. The Discount rate applicable to each invoice is determined solely by the Buyer and will be displayed on the Portal at the time of your request.

If you request an early payment:

  • your request for an early payment does not create a binding commitment by Buyer or Revolut to make a discounted payment to you; and
  • you agree to receive the discounted amount displayed on the Portal (“Discounted Amount”) to settle the invoice. The Discount Amount payable to you equals the original invoice amount less the Discount.

Following your request for early payment of an invoice via the Portal, the Buyer will have 24 hours to approve payment of the Discounted Amount after which the request for an early payment will lapse.

Upon payment of the Discounted Amount by the Buyer, you agree:

  • the invoice is deemed fully satisfied and extinguished;
  • you waive any further rights to the full invoice amount.

If the Buyer does not pay the Discounted Amount following your request for an early payment:

  • the invoice remains payable in the ordinary course under its original terms;
  • no Discount shall apply unless payment of the Discount Amount is made.

For the avoidance of doubt, your use of the Portal does not waive, suspend, or alter your statutory rights under any local regulations on late payment in commercial transactions. Each Revolut or any of its affiliates assume no liability for the collection or enforcement of such late payment penalties.

Any early payment discount rates, timelines, or terms displayed on the Portal are strictly non-binding invitations from the Buyer for you to request early payment. Your selection of an invoice to request an early payment on the Portal constitutes a unilateral offer to accelerate settlement of the invoice at the specified Discounted Amount. The Buyer retains absolute discretion to accept or reject your request, and acceptance occurs solely and exclusively upon the active electronic disbursement of the Discounted Amount to your account. If funds are unavailable or the request is not completed within the 24 hour designated processing window, your request will automatically lapse without breach, and the invoice will remain payable under its original, unamended terms.

Requesting a Discount via Early Payments may affect the performance of, or constitute an amendment to the underlying agreement between you and the Buyer (which forms the contractual basis for the payment obligation specified in invoice), depending on the applicable law governing that underlying agreement. You are solely and exclusively responsible for ensuring that any Discount agreed upon through the Early Payments complies with the underlying agreement concluded between you and the Buyer.


6. PAYMENT RESPONSIBILITY

Revolut or any of its affiliates is not responsible for payment of any Discounted Amount, which remains the sole responsibility of the Buyer.

Revolut or any of its affiliates:

  • has no obligation to make payments; and
  • does not guarantee that any Discounted Amount will be paid by the Buyer.


7. SUPPLIER REPRESENTATIONS AND WARRANTIES

You represent and warrant that:

Authority

The individual accepting these Terms is duly authorised to bind the Supplier and request early payments.


Invoice Ownership and Validity of Invoices

In respect of each invoice where you have requested an early payment, that invoice:

  • has not been assigned, sold, factored, pledged, or otherwise encumbered;
  • is owned free and clear by the Supplier;
  • is genuine, valid, and enforceable;
  • is issued for bona fide goods or services delivered; and
  • does not relate to prohibited exports.


No Conflicts

Acceptance of Early Payments does not breach any agreement with third parties.


Tax and Accounting Responsibility

You are solely responsible for:

  • all tax treatment of Discounts;
  • accounting treatment of Early Payments;
  • compliance with applicable laws.


Sanctions

Supplier represents and warrants that neither Supplier nor any of Supplier’s owners, directors or officers is subject to, or owned or controlled by any person subject to, sanctions imposed by the United Nations, the European Union, the United Kingdom, or the United States, and you will not use the Portal or Early Payments in a way that would breach any applicable sanctions or facilitate financial crime.


8. YOUR DATA

To provide and administer the Portal and Early Payments, Revolut processes personal data relating to supplier representatives, employees, and contact persons, including contact details, invoice data and transaction data. Under applicable data protection laws, when Revolut processes your personal data to display invoice data, sync with the Buyer's platform, and facilitate your specific Early Payment requests, Revolut acts as solely a data processor acting on behalf of, and under the instructions of, the Buyer (who acts as the data controller). This processing is governed by the Data Processing Agreement concluded between Revolut and the Buyer.

By accepting these Terms, you acknowledge Revolut and its affiliates may contact you, on behalf of the Buyer, by email, telephone, or other electronic communications regarding the Early Payments, including onboarding, due diligence, participation opportunities, operational updates, relevant to your commercial relationship with participating Buyers. Please refer to the relevant Buyer to find out more about how your data is processed, to object to these communications, or to exercise any other privacy rights.


9. INTELLECTUAL PROPERTY

Revout retains all rights, title, and interest in the Portal.

You are granted a limited, revocable, non-exclusive, non-transferable licence to use the Port


10. AVAILABILITY AND FUNCTIONALITY

The Portal is provided on an “as is” and “as available” basis.

Revolut do not guarantee and are not liable for:

  • uninterrupted access;
  • availability at all times;
  • error-free functionality; and
  • suitability for your specific purposes.

Revolut may modify, suspend, or discontinue the Portal at any time

Revolut determines access of any Supplier to the Portal in its sole discretion,


11. OUR LIABILITY AND RESPONSIBILITY TO YOU

To the fullest extent permitted by law:

  • all implied warranties are excluded; and
  • the Portal is provided without guarantees of performance.

Neither Revolut nor any of its affiliates is liable for:

  • any failure by the Buyer to pay the Discounted Amount;
  • reliance on accounting integration software or third-party data;
  • indirect, incidental, special, punitive, or consequential damages;
  • loss of profit, business, or opportunity.

Revolut’s role is limited to providing the Portal as a technology platform and neither Revolut nor any of its affiliates shall have any liability to Supplier or any third party with respect to any payment risk, credit risk, or settlement risk associated with any invoice or Early Payments.

Other than any liability that cannot be excluded by law, our total aggregate liability to you arising in connection with the performance or contemplated performance of these Terms shall be limited to €1,000.


12. NO FINANCIAL ADVICE OR REGULATED ACTIVITY

By making the Portal available to Supplier, Revolut does not provide, and nothing on or accessed through the Portal constitutes or should be relied on as:

  • Lending or the provision of credit;
  • Factoring;
  • Confirming:
  • Financial, investment, tax, accounting or legal advice, or
  • Any other regulated financial service or activity.


13. CONFIDENTIALITY

Each party agrees to keep confidential all non-public information it obtains through or in connection with the Portal, including the other party’s business, financial, technical and customer information (Confidential Information), and to protect it using at least the same care it applies to its own confidential information.

Confidential Information may only be used:

  • By Supplier for purposes of using the Portal in accordance with these Terms;
  • As required by law or regulation.

Confidential Information may be shared by Supplier only with those personnel and advisers who need it for those purposes and who are bound by equivalent confidentiality obligations.

This obligation does not apply to information that is or becomes public through no fault of the receiving party, is lawfully received from a third party, or is independently developed without use of the other party’s Confidential Information.

On termination, or on request, Supplier will return or delete Confidential Information, subject to any records it must keep by law.


14. INDEMNITY

You agree to indemnify and hold Revolut harmless from and against any losses, costs, claims, liabilities, damages and reasonable expenses (including legal fees) that Revolut incurs as a result of, or in connection with:

  • Any breach of these Terms;
  • Any inaccurate, misleading or incomplete representation, information or content provided by the Supplier;
  • A disputes relating to invoices, payments or amounts owed under or in connection with these Terms;
  • Any negligence, fraud or wilful misconduct by the Supplier or its personnel;
  • Any claim by Buyer or a third party that the Supplier’s products, services or content infringe on Buyer or that third party’s rights; and
  • Any failure by the Supplier to comply with applicable laws or regulations, including those relating to data protection.


15. CHANGES TO THESE TERMS

Revolut may amend these Terms at any time without notice.

Supplier’s continued use of the Portal constitutes Supplier’s acceptance of the updated Terms.


16. LEGAL BITS AND PIECES

Governing law

These Terms are governed by the laws of England and Wales.


Jurisdiction

Courts of the England and Wales shall have exclusive jurisdiction.


Language

The English version of these Terms applies. By accepting these Terms and using the Portal, you confirm that you understand the English language and agree to communicate with Revolut in English language as far as the legal relations arising under these Terms are concerned.


Entire agreement

These Terms constitute the entire agreement relating to the Portal.


Assignment

Revolut may assign, transfer, or subcontract, in whole or in part, these Terms. You may not.


Severability

If any provision or part-provision of these Terms is or becomes invalid, illegal or unenforceable, the remainder remains in effect.


Third party rights

These Terms do not give any rights to third parties. The only exception is that the Buyer can rely on the waiver in Section 5, meaning no further payments for the full invoice amount will be due after the Discount Amount is received.


No waiver

Failure to enforce any right does not constitute a waiver.


Survival

The following provisions of these Terms will continue in force on or after the termination and shall remain in full force and effect:

  • Your data
  • Our limit of liability to you
  • Confidentiality
  • Indemnity


17. ACKNOWLEDGEMENT

By using the Portal, the Supplier acknowledges that:

  • Discounts are determined by the Buyer;
  • Invoice data is derived from Buyer systems;
  • Upon payment of the Discounted Amount, the invoice is fully settled.
